Terms of Service

The rules for using DocuDue. Effective date: July 8, 2026.

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and DocuDue ("DocuDue", "we", "us") governing your use of the DocuDue website and application at getdocudue.com (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The Service

DocuDue helps you record important documents (such as licenses, insurance policies, certifications, leases, permits, and registrations), track their expiration dates, optionally store related files, and receive email reminders before those dates arrive. Some plans include additional features such as file uploads, smart date extraction, and shared workspaces.

We may improve, change, or discontinue features of the Service over time. Where a change materially reduces the core functionality of a paid plan, we will make reasonable efforts to notify you in advance.

3. Accounts and Security

You must provide accurate information when creating an account and keep it up to date. Sign-in and password handling are provided by Clerk, our authentication provider; we never see or store your password directly.

You are responsible for safeguarding access to your account, including any credentials and, if enabled, your two-factor authentication (MFA) device. You must notify us promptly of any unauthorized use of your account.

If you join or create a shared workspace, members of that workspace can view and manage the documents in it. You are responsible for who you invite.

4. Plans, Subscriptions, and Billing

The Service offers a free plan and paid subscription plans with higher document limits and additional features. Current plans and pricing are shown on our Pricing page.

Paid subscriptions are billed in advance on a monthly or yearly basis through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel. We do not see or store your full card details.

Subscriptions renew automatically at the end of each billing period. You can change or cancel your subscription at any time through the billing portal available on the Pricing page. Cancellation takes effect at the end of the current billing period, and your workspace then moves to the free plan; charges already made are non-refundable except where required by law or where we decide, at our discretion, to issue a refund.

If a paid subscription lapses or is downgraded, documents beyond your new plan's limit remain stored, but you may be unable to add new documents until you are within your plan's limit again.

We may change prices for paid plans. Price changes take effect at your next renewal, and we will provide advance notice of any increase.

5. Your Content

You retain all rights to the documents, files, and information you add to the Service ("Your Content"). You grant us a limited license to host, store, process, and display Your Content solely as needed to provide the Service to you and your workspace members.

You are responsible for Your Content, including having the right to store it, and for keeping your own copies. The Service is a tracking and reminder tool, not a system of record or a backup service.

6. Acceptable Use

You agree not to misuse the Service. In particular, you will not:

  • use the Service for any unlawful purpose or to store content you have no right to store;
  • attempt to access another user's account, workspace, or data without authorization;
  • probe, scan, or test the vulnerability of the Service, or circumvent authentication, rate limits, or plan limits;
  • interfere with the operation of the Service, including by transmitting malware or generating abusive load;
  • resell or provide the Service to third parties as a service bureau without our written consent.

7. Reminders and AI Features — Important Disclaimer

Email reminders are provided as a convenience. Email delivery is not guaranteed — messages can be delayed, filtered, or lost by systems outside our control. You remain solely responsible for tracking and meeting your own deadlines, renewals, and legal obligations. DocuDue is not liable for any expired document, missed renewal, fine, penalty, or other loss arising from a reminder that was not sent, delivered, or read.

Smart date extraction uses artificial intelligence to suggest dates and details from documents you upload. AI output can be wrong. Always verify suggested dates against the original document before relying on them.

8. Third-Party Services

The Service relies on third-party providers, including Clerk (authentication), Stripe (payments), Resend (email delivery), and Google Gemini (AI document analysis). Your use of the Service is also subject to those providers processing data as described in our Privacy Policy. We are not responsible for third-party services we do not control.

9. Suspension and Termination

You may stop using the Service and delete your data at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use poses a security or abuse risk, and where practicable we will notify you first.

Upon termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 5, 7, 10, and 11) survive termination.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that reminders will always be delivered. Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.

11. Limitation of Liability

To the maximum extent permitted by law, DocuDue will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising out of or related to the Service — including any expired document, missed deadline, or missed renewal — even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim (or USD $50 if you have not paid us anything).

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by email or a notice in the app, before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The "Effective date" above shows when these Terms were last revised.

13. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
